Terms of Service

The Service is operated by the SignalProphet team (“SignalProphet,” “we,” “us,” or “our”). By accessing or using the Service you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is offered from the United States and is not directed to any jurisdiction where its use would be unlawful. You are responsible for compliance with the laws that apply to you.

SignalProphet scans market data, ranks setups by the model’s conviction, explains its reasoning, and can run a simulated trading plan on your behalf. Any track record we display is simulated (paper) performance and is published only once the sample is large enough to be statistically meaningful; when it is not, we say so.

The Service is not investment, financial, legal, or tax advice. We are not a broker-dealer, investment adviser, or financial planner, and nothing in the Service is a recommendation, solicitation, or offer to buy or sell any security or other instrument. You are solely responsible for your own decisions. Do your own research and consider consulting a licensed professional.

The Service places simulated orders against paper (test) brokerage accounts only. It does not, and is not intended to, place real orders or move real money. If you connect a brokerage, you are responsible for connecting a paper/test account and for confirming that no real funds are at risk. Simulated results do not reflect real trading and do not account for all real-world conditions (liquidity, slippage, fees, execution) you would face with real money.

Markets involve risk. Past performance — including simulated performance — never guarantees future results. We make no promise that the Service will be profitable, accurate, or suitable for your goals. Trading and investing can result in the loss of some or all of your capital. Options and other derivatives carry substantial risk, including the total loss of the premium paid.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. If you provide third-party API keys (for example, a paper brokerage or a model provider), you represent that you are authorized to use them and you remain responsible for their use, rotation, and any charges the third party imposes. Notify us promptly of any unauthorized use.

The Service integrates third parties, including Stripe (payment processing), Alpaca (paper brokerage), and AI model providers such as Anthropic. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, or their acts and omissions.

SignalProphet offers a free tier and paid subscriptions (currently Premium and Pro), billed on a recurring basis through Stripe until cancelled. By subscribing you authorize us, through Stripe, to charge your payment method the then-current fee for each billing period. Fees are stated on our pricing page.

You can cancel anytime from the billing portal; cancellation stops future charges and takes effect at the end of the current billing period, and you keep paid access until then. Except where required by law, payments are non-refundable and partial periods are not prorated. We may change prices or plans prospectively with notice; changes never apply to a period you have already paid for.

You agree not to:

• use the Service for unlawful purposes or to facilitate market manipulation or abuse;
• reverse engineer, scrape at scale, resell, or build a competing product from the Service;
• share your account, or exceed the usage limits of your plan through automated means;
• interfere with, overload, or attempt to gain unauthorized access to the Service or other users’ data.

We own the Service, including its software, models, design, and content, excluding your data. You retain ownership of the content you create (watchlists, notes, drawings, and your simulated activity). You grant us a limited license to process that content solely to operate and improve the Service, as described in the Privacy Policy.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any analysis or data will be accurate or complete.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALPROPHET WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless SignalProphet from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service or your breach of these Terms.

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or other users. On termination, the provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of- laws rules. You and SignalProphet agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration, and to first attempt to resolve any dispute informally by contacting us.

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.
